Terms of Service

These Terms of Service ("ToS") govern the relationship between Verkkolynx Ratkaisut Oy, Y-ID: 3486845-7, a Finnish limited liability company, and its customers ("User" or "Customer"). By engaging with Verkkolynx's services, you agree to the following terms:

1. General Information

Verkkolynx operates primarily in Finland but also serves customers within the EU and globally.

2. User Engagement

2.1 Eligibility
Customers must:

Ensure timely payment as outlined in individual service agreements.

3. Fees and Payment

3.1 Pricing Model
Pricing is determined on a case-by-case basis, considering the scope, frequency, and type of service provided.

3.2 Payment Terms
Invoices are issued monthly, with payments due by the 1st of each month via direct bank transfer.

3.3 Refund Policy

Services are non-refundable.
In cases where services do not meet agreed-upon metrics, Verkkolynx will make corrections at no additional cost.
Prolonged delays or issues may result in credits toward future invoices at Verkkolynx's discretion.

4. Service Delivery

4.1 Customization
Services are tailored to individual clients. While methodologies may overlap, all content and deliverables are uniquely created unless explicitly agreed otherwise.

4.2 Third-Party Tools and Integration
Where third-party tools, platforms, or APIs are used, the Customer agrees to abide by the terms of those third parties.

5. User Obligations and Restrictions

5.1 Permitted Use
Customers may not represent Verkkolynx's work as their own to third parties or use services in any unlawful or unauthorized manner.

5.2 Intellectual Property
Verkkolynx retains ownership of its logo and proprietary methodologies. Custom content created for Customers may be licensed or transferred as per individual contracts.

6. Data Handling and Privacy

6.1 Data Collection and Usage
Verkkolynx collects and uses Customer data solely for the purpose of fulfilling contractual obligations.

6.2 Compliance
Verkkolynx complies with the GDPR and all applicable Finnish and EU data protection laws.

6.3 Data Sharing
Customer data is not shared with third parties unless required to deliver the agreed-upon services or comply with legal obligations.

7. Liability and Disputes

7.1 Limitations of Liability
Verkkolynx is not liable for indirect damages, technical issues outside its control, or delays caused by third-party outages, search algorithm changes, or other external factors.

7.2 Governing Law
These terms are governed by Finnish law, with EU trade and data privacy regulations as applicable.

7.3 Dispute Resolution
Disputes must first be resolved directly with Verkkolynx. If unresolved, disputes will be settled in Finnish courts.

7.4 Indemnification
Customers agree to indemnify Verkkolynx against claims arising from misuse of services or violations of third-party rights.

8. Updates and Termination

8.1 Terms Updates
Customers will be notified of updates via email or directed to the updated terms on Verkkolynx's website.

8.2 Termination

Agreements cannot be terminated while a balance is outstanding.
Verkkolynx may approve termination mid-billing cycle at its discretion, with services prorated accordingly.

9. Force Majeure

Verkkolynx is not liable for service interruptions caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, or government actions.
